1. Who We Are

These Terms & Conditions govern your use of the services provided by Sonick Edge Advisors LLP, trading as SEAL Group ("we", "us", "our"), a limited liability partnership registered in India, with its principal place of business in Hyderabad, Telangana.

2. Scope of Services

We provide back-office accounting, bookkeeping, financial reporting, and advisory services to US and UK-based businesses, with a focus on the construction sector. The specific services, deliverables, timelines, and fees applicable to your engagement are set out in a separate written proposal or engagement letter issued to you prior to commencement.

3. Engagement & Agreement

A binding engagement commences when you accept our written proposal in writing (including by email) or make an initial payment. These Terms are incorporated by reference into that engagement. In the event of any conflict, the terms of the signed engagement letter prevail.

4. Payment Terms

Fees are payable monthly in advance unless otherwise agreed in writing.
Invoices are due within 7 days of the invoice date.
We reserve the right to suspend services if payment is overdue by more than 14 days.
All fees are exclusive of applicable taxes. International wire transfer fees, if any, are to be borne by the client.
Minimum engagement period is 3 months unless stated otherwise in your proposal.

5. Client Obligations

To enable us to perform our services, you agree to:

Provide timely access to accounting software, bank statements, and source documents as reasonably requested.
Designate a single point of contact on your side for approvals and queries.
Respond to queries within 3 business days to avoid service delays.
Ensure that all information provided to us is accurate and complete to the best of your knowledge.

6. Confidentiality

Both parties agree to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement.

7. Intellectual Property

All templates, tools, workflows, and proprietary processes developed by SEAL Group remain our intellectual property. Deliverables produced specifically for your engagement (reports, ledgers, trackers) are your property upon receipt of full payment.

8. Limitation of Liability

Our liability in connection with any engagement shall not exceed the total fees paid by you in the three months immediately preceding the event giving rise to the claim. We are not liable for any indirect, consequential, or incidental loss.

We are not a licensed CPA, CA, or attorney in the United States. Our services are operational and advisory in nature. Tax filing, audit sign-off, and legal opinions must be obtained from appropriately licensed professionals in your jurisdiction.

9. Termination

Either party may terminate the engagement with 30 days' written notice after the minimum engagement period.
We may terminate immediately in the event of non-payment, material breach, or conduct that we reasonably deem harmful to our business or reputation.
Upon termination, all outstanding fees become immediately due and payable.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.

11. Changes to These Terms

We may update these Terms from time to time. Updated terms will be posted on this page with a revised date. Continued use of our services after the update date constitutes acceptance.
